The planned sale of Youngstown Orthopaedic Associates would violate an existing agreement, a lawsuit filed Friday alleges, putting a major Mahoning Valley health care transaction in legal jeopardy. The suit claims the buyer and seller are moving ahead with a deal that the parties’ own contracts prohibit.

Youngstown Orthopaedic is one of the region’s largest orthopaedic practices, and any ownership change carries weight for patients, employees and the local health care market. The complaint asks the court to block the transaction from closing while the dispute is resolved.

Health system deals in the Mahoning Valley have drawn close scrutiny in recent years as consolidation reshapes where and how residents get care. A blocked or restructured sale could keep the practice’s ownership intact — or send both sides back to the negotiating table with revised terms that satisfy the agreement’s requirements.

As of Friday evening, no hearing date had been announced and neither side had publicly commented beyond the court filing. The outcome could affect physicians, staff and hundreds of patients who rely on the practice for orthopaedic care across the Youngstown area.
